Square One PR

1. Acceptance of Terms

By accessing, logging into, or using the Square One PR platform (“Platform”), you:

• Acknowledge that you have read and understood these Terms and Conditions (“Terms”)
• Agree to be legally bound by them
• Warrant that, if acting on behalf of an entity, you have full authority to bind that entity

Access to the Platform is conditional upon acceptance of these Terms. Selecting the acceptance checkbox and/or logging into the Platform constitutes full and binding acceptance of these Terms.

2. Purpose of the Platform

The Platform is provided by Square One PR (“we”, “us”, “our”) to support PR campaign management, reporting, and AI-assisted content generation.

The Platform is provided as a tool only and does not constitute professional, legal, financial, or strategic advice.

3. Data Collection and Use

You consent to the collection, storage, and processing of:

• Company and contact details (including ABN and authorised users)
• PR materials, messaging, drafts, and media assets
• Campaign data and reports, including potentially confidential information

You are solely responsible for:

• The accuracy of data provided
• Ensuring you have the right to upload and process that data

4. AI Processing

The Platform uses artificial intelligence services provided via third-party providers.

You acknowledge and agree that:

• Data you submit may be transmitted to third-party AI providers for processing
• Processing is performed on a request basis and is not used to train public AI models
• Outputs are generated probabilistically and may be inaccurate, incomplete, or inappropriate

5. Data Security and Cyber Risk

We implement commercially reasonable safeguards, including secure hosting and encrypted transmission.

However, you acknowledge that no system or network is completely secure, and use of internet-based services carries inherent risk.

To the maximum extent permitted by law, we do not guarantee that the Platform will be:

• Uninterrupted
• Error-free
• Free from unauthorised access or cyber intrusion

6. Activity Monitoring and Audit Logging

You acknowledge and consent that:

• All Platform activity is logged and monitored
• This includes logins, authentication events, data access, and user interactions
• Logs may be used for security, compliance, and operational purposes

Monitoring applies to all users, including client and administrator accounts.

7. User Obligations

You warrant that you will:

• Use the Platform only for lawful purposes
• Not upload unlawful, infringing, or unauthorised third-party content
• Maintain the confidentiality of login credentials
• Not interfere with, disrupt, or attempt to gain unauthorised access to the Platform

8. Confidentiality and Intellectual Property

8.1 Confidentiality

You must keep all non-public information accessed via the Platform strictly confidential and not disclose it without prior written consent.

8.2 Square One PR Intellectual Property

All rights in the Platform, including systems, workflows, methodologies, and outputs created by Square One PR, remain our property.

You expressly agree that you will not:

• Copy, reproduce, distribute, or exploit any part of the Platform
• Reverse engineer or replicate the Platform
• Use Platform outputs to compete with Square One PR
• Share Square One PR intellectual property with any third party

9. Limitation of Liability (Australia)

To the maximum extent permitted by law, including the Australian Consumer Law:

• The Platform is provided free of charge (at this time) and on an “as is” and “as available” basis
• All warranties, guarantees, and representations are excluded except those that cannot be excluded by law

Where a statutory guarantee applies and cannot be excluded, our liability is limited, at our sole discretion, to:

• (a) supplying the services again; or
• (b) paying the cost of having the services supplied again

To the extent permitted by law, we are not liable for:

• Indirect, incidental, or consequential loss
• Loss of profits, revenue, business opportunity, or goodwill
• Loss, corruption, or unauthorised access to data
• Cybersecurity incidents, hacking, or system breaches
• Errors or reliance on AI-generated outputs

We may elect to suspend or terminate access to the Platform as the sole remedy where appropriate.

10. Free Service Acknowledgement

You acknowledge and agree that:

• The Platform is currently provided at no cost
• No service levels, uptime guarantees, or performance guarantees are provided
• Square One PR may, at any time and without liability, modify, suspend, or discontinue the Platform, or restrict or remove access to any user

11. Assumption of Risk

You expressly acknowledge and agree that use of the Platform, including AI functionality and cloud-based systems, is undertaken entirely at your own risk.

You accept all risks associated with:

• Data transmission and storage
• AI-generated content
• Cybersecurity threats and third-party systems

12. Indemnity

You indemnify and hold harmless Square One PR against any claims, damages, losses, liabilities, and costs arising from:

• Your use of the Platform
• Your breach of these Terms
• Any data or content you upload or process
• Any reliance placed on AI-generated outputs

13. Third-Party Services

The Platform relies on third-party providers for infrastructure and AI processing.

You acknowledge that these providers operate independently and Square One PR is not responsible for their acts, omissions, or failures.

14. Data Ownership

You retain ownership of your data.

You grant Square One PR a non-exclusive, worldwide, royalty-free licence to use, process, and store your data solely for the purpose of providing the Platform.

15. Suspension and Termination

We may suspend or terminate access immediately if these Terms are breached or there is suspected misuse or security risk.

16. Changes to Terms

We may update these Terms at any time. Continued use of the Platform constitutes acceptance of any updated Terms.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of Queensland, Australia. You submit to the exclusive jurisdiction of the courts of Queensland.

18. Entire Agreement

These Terms constitute the entire agreement between you and Square One PR regarding use of the Platform.

19. Acknowledgement

By logging in and/or selecting the acceptance checkbox, you confirm that:

• You have read and understood these Terms
• You agree to be legally bound by them
• You assume all risks associated with use of the Platform
• You accept the limitations of liability set out above
